L.Starr for professional services for a sum not less than $250.00, and that an allowance for services of the Receiver should be made. Gentlemen: We have yours of the 16th and our understanding is that the net proceeds of the account with the Rockyface Spinning Company, Stony Point, North Varolina are to be paid to you hereafter. We will use our vest efforts to follow your wishes in this regard. We will have to check all shipments very carefully as there may be other and substantial differences between the invoices and the yarn as received. Any payment by way of advances or otherwise against this account would of course be subject to proper adjustments for such shortages, and if you will be good enough to advise that you so understand, we will then be glad to figure just what we can doe The consignment shipped by Rockyface on July 8th is invoiced at 6,685 pounds. We do not have the papers as yet for the consignment of July 15th to which you refer. We think that we might probably advance up to $2500.00 on these several consignments. If that is agreeable, and you will write us so, we will be glad to advise further. That the defendant, Link-Pickens Publish- ing Company is a corporation duly created, organised and exist- ing under and by virtue of the laws of the State of North Carolina, with its principal place of business at Statesville, where it is engaged in the business of conducting commercial printery, book, stationery and office supply store. 2nd. That the plaintiffs above named are stock~ holders in the defendant Company and are owners of more than two- thirds of the capital stock of said corporation issued and out- standing. Srd. That the defendant corporation was organised under the laws of the State of North Carolina on or about the day of » 1925, and thereafter, pursuant to the power contained in its charter, published a newspaper in the City of Statesville for a period of approximately six months, when it was forced to suspend publication of said paper on account of the large defecit created by its publication and since said date, the defendant has engaged in the business aforesaid. That quite a number of the subscribers to the capital stock of this corporation have persistently refused to pay their subscriptions to the capital stock of seid Company and there are now pending a iuahes of suits against subscribers to collect their subscriptions, with others to be instituted and that the management of the defendant Company, | on account of the antagonistic attitude of those whom it seeks ' to force to pay their subscriptions, has not had the support and co-operation of the stockholders and after making every effort possible to place the business of the Company on a sound basis and overcome the defecit created by the publication of seid news- paper, the Company is now embarrassed on account of lack of operating capital upon which to do business, although it now has orders and work in process of completion sufficient to require sixty days for its completion, it has no funds with which to buy stock and materials and pay its pay-rolls and on account of the failure and refusal of the subscribers to the capital stock to pay the amount subscribed by them it is forced to operate without adequate capital and, therefore, without profit. 4th. That the officers of the Company have made dilizent effort to adjust its liabilities and to provide working capital by collecting the unpaid subscriptions to its capital stock, but that the Company is unable to secure credit in the face of its embarrassed financial position and that certain of the subscribers to its cavital stock who have not paid their subscriptions, are threatening to institute proceedings for the appointment of a Receiver for the purpose, as the plaintiffs are informed and betiove, of seeking the appointment of a friendly Receiver who will not prosecute with energy the collection of said subscriptions and who have no vested interest in the assets of said corporation, but wish to merely evade payment of their subscriptions to its capital stock, which would impair, diminish and destroy the rights” of the plaintiffs who are stockholders in said corporation. That the defendant Company is in imminent danger of becoming insolvent and due to its lack of working capital, is unable to meet its maturing obligations to creditors and that if its assets are thrown upon the market by hostile subscribers to its capital stock, the property rights of the plaintiffs will be seriously impaired and diminished and its assets diésipated. 6th. That the defendant's entire assets, including the book value of its stock of merchandise, accounts receivable and other property, is not more than $39 900 ; that its liabilities, including its capital stock issued and outstanding, amount to not less than } 50,900 and it is advisable and necessary, on account of the imminent danger of said corporation's becoming insolvent, that a Receiver be appointed to preserve its assets, protect the rights and property of the plaintiff stockholders and secure an equitable distribution among its creditors and to wind up the affairs of the corporation and dissolve the same. 7th. Turner, who was President of said concern, has tendered his resignation as President and Director on account of non-co-operation and support of the stockholders and the animosity of certain ones who are resisting their subscriptions to the capital stock; and that the plaintiff, B. This cause coming on to be heard before the under~ signed Judge of the Superior Court, holding the Courts of the Fifteenth Judicial District, at Salisbury, N. C. on Monday, February 14th, 1927, when and where the same is made returnable, and being heard upon the notice to the defendant to show cause why the temporary HKeceiver heretofore appointed in this action should not be made permanent; And it appearing to the Court that due notice has been served upon the defendant to appear and show cause, if eny it could, why said Receivership should not be made permanent and that a copy of the summons has been published once a week for two weeks in the Statesville Daily, notifying al} stockholders, creditors and parties interested in the affairs of the defendant Company to appear before the undersigned at this time and place and show cause why said Receiver should not be made permanent; And the defendant having failed to appear, after notice to it duly given for ten days, and no stockholder or creditor having appeared and filed any objection; And it appearing to the Court that the defendant, Link-Pickens Publishing Company, a corporation, is in imminent danger of becoming insolvent, if it is not in fact already in- solvent, ‘ca that it is unable to meet its maturins obligations and the demands of its creditors and that the plaintiffs in this action are owners of a majority of the stock’ therein and have exhausted every reasonable effort to provide funds with which to successfully operate said concern, its officers and Directors desire to have a Receiver appointed in order to protect the investment of the stockholders in the assets of the corporation and to preserve its assets and distribute the same among its creditors in accordance with their rights; It is now, therefore, considered, ordered and adjudged by the Court that the temporary receivership heretofore ordered in the above entitled cause be, and the same is hereby vinta permanent and that Robert A. Collier, temporary Yeceiver, be, and he is hereby appointed as permanent hecetves of the defendant corporation, Link-Pickens Publishing Company, with full power and authority to enter in and upon the estate of the defendant and to take immediate possession thereof; to make sales of its merchandise and accounts, either at public or private sale, in his discretion, as may seem best for the interests of creditors and other parties concerned and to do all and any thing usual or necessary to preserve and collect the assets of the defendant corporation; to disburse the assets of the defendant in payment of the expenses of said receivership and the claims of its creditors according to their interests, as may hereafter be ordered by the Court, and to wind up the estate of the defendant corporation. It is further ordered and adjudged that the Receiver be, and he is hereby instructed to make himself a party plaintiff to all actions now pending in the Courts of Tredgll County or elsewhere, in which the defendant corporation is a party, and the Receiver is directed to proceed forthwith to collect all unpaid stock subscriptions to the capital stock of the defendant Company and if necessary, to enter suit against said subscribers. It is further ordered by the Court that the Receiver, in selling the property and assets of the corporation, shell have the right and is hereby authorised to sell the same free and discharged of encumbrances and in the event he does 80, the lien of any encumbered property so sold shall be transferred to the proceeds arising from the sale thereof, rather than against the property itself. The Receiver is further authorised to sell the assets of said corporation either as a whole, or in part, at one time and upon a sale, to reject all bids, or to accept some bids, as may seem for the best interests of creditors and parties interested, and reject others in his discretion and in accordance with his notice of sale. It is further ordered, that in the event of a sale at public auction, that a notice published in the Statesville Daily at least tf) days prior to the date of said sale, shall be sufficient notice of said sale, but the Receiver is authorised to advertise in such other papers as may seem: advisable in order to obtain bidders by pubdlication, It is further ordered, considered and ad judged that the said Receiver shall enter into a good and sufficient bond, payable to the defendant, in the penal sum of $10,000.00, conditioned on the faithful performance of his duties as Receiver, as aforesaié, and upon the execution of said bond, he may enter upon his duties as such Receiver. It is further ordered that notice be published in the Statesville Daily, a newspaper published in Iredell County, tne. times a week for four, successive weeks, giving notice to all parties and creditors interested in said estate of the defendant corporation to come in and make themselves parties plaintiffs or defendants, as provided by statute. Pickens on behalf of themselves and all other stockholders and creditors who may come in and make themselves parties plaintiff in this action, | / ves REPORT OF SALE Link-Pickens Publishing Company, BY THE RECEIVER a Corporation. ; Robert A. Collier, the Receiver appointed by the Court in the above entitled action, respectfully reports to the Court: lst. That he has advertised the sale of the assets of the defendant corporation, both by publication of netices in newspapers at Statesville, Winston-Salem, Greensboro, Raleigh and Asheville and in addition thereto, has prepared and mailed out to job printing plants and newspaper offices about seventy-five printed copies of the inventory and notice of sale for a period of thirty days, as required by the Court, and in addition to the printed advertisement, the Receiver has personally made an effort to interest prospective buyers; thet he received bids on the said property at Statesville, HN. ©. up to ten o’cloek on the 18th day eof March, 1927, pursuant to his advertisement, and rejected all of said bids so received, as inadequase, and that thereafter he exposed the machinery, steck and fixtures to sale upon the premises of the Company at public auction at eleven o'clock and that then and there B. L. Sronce became the last and highest bidder for the same for the sum of $7,500.00, not including a Miehle Pony Press and Westinghouse Motor attached to it, which was bid off by the Dodeon Printers Sunply Company of Atlanta, Ga., who held @ purchase lien upon it\ in the amount of $891.45 and who bid it in at their debt. 2nd. That the owner of the building in which the equipment is located has already leased the building out from under the Receiver and the new lessee is demanding poss-~- ession at once and that it would be a very expensive and difficult matter for the Receiver to remove the machinery, some of which is very heavy, to new quarters pending a further sale or to secure proper quatters in which to place it and that, in the opinion of the Receiver, such a movement would probably entail an expense of from $500.00 to $800.00 and that the sale made as above, was with the announcement that the purchaser must remove the property within not more than ten days after confirmation, from the building and the rental on the building is $200.00 a month, which would be a considerable additional] expense if the property was held. Srd. That after advising with various printers and machinery supply people, the Receiver is of the pinion that it would be to the best interests of all parties concerned to accept said bid and confirm the sale, because the price offered is, in view of the difficulty of securing purbdhasers for such class of merchandise, probably as much as could be secured and to incur further expense in the way of Bent, advertising and removing the machinery, will, in the opinion of the Receiver, cost as much as any possible increase that could be obtained, if any might be obtained at all, and that it would promote the best interests of creditors and all others concerned, to confirm this sale. 4th. That the Miehle Press and motor operating the same, is not worth more than the lien upon it and that the Receiver recommends that it be returned to the Dodson Printers Supply Company in cancellation and satisfaction of the lien upon it to the amount of $891.45. 5th. That the other machinery and fixtures, while encumbered, were sold free of liens and the Receiver recommends that the sale be confirmed and the liens thereon, other than the lien of the Dodson Printers Supply Co., on the Miehle Press, be transferred to the funds and paid out of the proceeds of said sale in full, in accordance with the lawful priority of said liens and the balance of the sale price held by the Receiver subject to the payment of the expenses of the Receivership and the claims of the unsecured creditors. This cause coming on to be heard before Michael Schenck, Judge holding the Courts of the Fifteenth Judicial District in which Iredell County is located, and being heard, upon the report of sale made by the Receiver, and it appearing to the Court that the Receiver offered the machinery, merchandise and fixtures of the defendant corporation first upon sealed proposals, after thirty days" advertisement, and after rejecting all sealed proposals, at public auction thereafter at the plant of the Company in Statesville on the 18th day of March , 1927, when and where the Dodson Printers Supply Company became the last and highest bidder for one Miehle Press and the motor attached to the same, upon which it held a Deed of Trust for the purchase money due thereon, in the amount of $891.45, and that B. Le Sronce became the last and highest bidder for all and singular the remaining machinery, fixtures, merchandise and supplies at the price of $7,500.00; And it appearing to the Court that the Receiver, after an investigation, recommends that said sale be confirmed and especially so man account of the fact that the rental, insurance and other expenses amount to a considerable item and that there seems no probability of securing a better bid because there were present at said sale and bidding, approximately fifteen bidders and the Receiver had theroughly advertised said sale, both by publication in the newspapers and by personal solicitations and by mailing printed copies of the inventory and notice of sale to a large list of job offices and news- paper plants in the State of North Carolina; It is, therefore, ordered and adjudged that the said sale be, and the same is hereby confirmed and the lawful liens existing against the property sold are ordered to be transferred to the proceeds of sale and the Receiver is authorized to pay the same in full out of the proceeds of said sale and the balance remaining, after discharging the specific liens, shall be held by the Receiver, subject to the further orders of the Court.
