The plaintiffs complain and say:- he That said Frederick M. Farber, Henry J. Farber, Jr., and Wil- liam C.Farber on and before the 14th day of September 1895 were and since said time are partners engaged in business in the City of Baltimore and State of Maryland under the firm name and style of H.J.Farber & Co. ti. IV. That on the 14th day of September 1895, the defendants, David Wallace, Isaac Wallace and William Wallace members of the said firm A -l-= 4 of Wallace Bros., pretending to act for and in behalf of said firm and also as individuals, their respective wives joining them, ex- ecuted and placed on the record of the Registers office of Iredell County, a deed of assignment, which now appears of record in said Registers office in Book 20 page 384 and following, a copy of which is hereto attached and marked "Exhibit A". Vv. That the entry of the filing of the said deed of assignment and the hour of filing the same were ante-dated so as to appear as if the same had been done at an earlier hour than the real hour of filing the same, and that said entry was 50 made so as to cause the said filing to appear to have taken place before the levying of certain attachments against the property of the defendants, Wallace Bros., which attachments had been issued at a time prior to said filing of said deed of assignment for registration, and said filing was done with the intent to hinder, delay and defraud t the attaching creditors of the defendants Wallace Bros., as plain- tiffs are informed and believe. VI. That at the time of execution and filing of said deed of as- signment, the defendant firm, Wallace Bros. as plaintiffs are in- formed and believe, were and for some time prior thereto wholly insolvent, that at that time the firm of Wallace Bros. were in- debted to an amount aggregating something like Three Hundred Thous- and Dollars, as plaintiffs are informed and believe. vil. That in said deed of assignment the defendant firm Wallace Bros. pretended to convey to B.F.Long, Assignee, the trustee named therein, all its property, both real and personal, wheresoever situated, including the entire stock of goods of said firm in Statesville, consisting of goods, wares and merchandies of every kind of roots and herbs amounting to between sixty and one hundred Thousand Dollars; also all the real estate in Statesville the store \ Oe houses on Broad Street, the root houses and the respective dwelling houses of the members of said firm, the dwelling in rear of the U.S. building the vacant lots, the houses and lots in Olin, Iredell County with all the farming lands in said County and the real es- tate of said firm in the Town of yt Lenoir and County of Caldwell. Also that lot in Statesville known as the Simonton Hotel lot. VIII. The plaintiffs allege on information and belief that long prior to the deed of assignment, the defendants Wallace Bros. were insolvent and knew that they were insolvent, contemplated a fraud upon their creditors. That Jacob Wallace, a son of David Wallace, withdrew from the firm of Wallace Bros. and was sent to New York and remained there as the repository of said firm, receiving all the money then and at various times taken from the firm and holding the same against the 14th day of September 1895, for the use and benefit of said firm Wallace Bros, and that said money so stored away became the money with which the stock of goods was purchased after the assignment and from the Assignee. IX. That after the full knowledge of the insolvent condition of said firm, Wallace Bros. it continued to purchase goods on credit and to sell goods and receive cash up to the vety day of the as- signment and in many instances receiving and collecting various and large amounts on notes and accounts, after said notes, accounts bonds and evidences of debt had been discounted, and were at the time of such collection and receipt of money, the property of others as these plaintiffs are informed and believe. xX. That as plaintiffs are informed and believe large amounts of property and money of the firm shortly before and after the assign- ment was disposed of and placed in the hands of relatives and friends for the purpose of hindering,delaying and defrauding the creditors of the said firm of Wallace Bros. ase That the defendant firm, Wallace Bros., had fraudulently conspired to create a fictitious credit, whereby it had been enabled to pur- chase in the markets, a large and valuable stock of goods, and hav- ing gained possession thereof, with intent to defraud its creditors conveyed the same, as plaintiffs are informed and believe, to B. F. Long, to distribute the same in small mites to its less for- tunate creditors. XI. That as plaintiffs are informed and believe the defendant David Wallace took and carried a large amount of stock in the First Building and Loan Association of Statesville in the name of his wife, that the dues each and every week were paid out of the the assets of the firm of Wallace Bros. and that within a few days of the assignment, after said David Wallace knew that an assignment was agreed upon, received from said Building and Loan Association a paid up certificate of stock in the name of his wife, for the amount said stock was worth, which was and is properly the assets of the firm, and has failed to turn over the same to said trustee. XII. That as plaintiffs are informed and believe, me cer een David Wallace procured from the Equitable Life Assurance Ro two policies upon his life for the use and benefit of said firm, the premiums for which were paid out of the assets of said firm, and as plaintiffs are informed and believe said David Wallace has earried for years a large policy upon the life of his son Jacob, paying large premiums out of the assets of the firm, and that said policies have not been turned over to the assignee, but the same are being retained with intent to defraud the creditors of said firm, whose money paid said premiums. \ XIII. That as plaintiffs are informed and believe, the defendants Wallace Bros. intending to cheat and defraud their creditors, for oo 4 om some time prior to and up th the date of the assignment were sell- ing staple goods below actual cost for the purpose of realizing ready money, which ready money they did not account for or turn over to the assignee, but used the same for their own use and ben- efit, to pay claims which if unpaid might subject them criminally. XIV. That shortly after the execution of the deed of assignment the defendants, Wallace Bros., procured the formation of a corpora- tion in the State of New Jersey, composed of themselves and two others, under the corporate name of "The WallaceBros. Company", the officers in said corporation being William Wallace, President, David Wallace,Treasurer, both members of the firm of Wallace Bros., and Chas. Barkley, a book-keeper and confidential clerk to Jacob Wallace, none of whom have now or had on the day of the New Jersey compact any money to embark in said concern. That as they are informed and believe the said William Wal- lace, before the corporation was organized, offered the trustee the price for the stock of goods, which was finally accepted after the corporation was incorporated, that as they are informed and believe said trustee was asked to come North for the money for said stock of goods before there Was any corporation at the price agreed upon. XV. That the new formed corporation composed and suffers offi- cered of and with the members of the old firm of Wallace Bros. in a very short time after the assignment purchased from B.F.Long as- signee the entire stock of goods,wkres and merchandise of every description privately at sixty cents on the dollar of its cost val ue as inventoried and valued in the main by Wallace Bros. and their employees at the aggregate sum of about $38000. and said officers of said corporation are now in possession of the store of the late \ firm of Wallace Bros.| selling, buying and doing business as before \ = Be assignment. gVI. That a large proportion of the solvent credits belonging to Wallace Bros. was disposed of bythe firm of Wallace Bros. beSore the date of the assignment, leaving very little in the way of solvent credits which were turned over to the assignee as these plaintiffs are informed andbelieve. XVII. That the defendants Wallace Bros. are utterly insolvent, as guaged by deed of assignment, and have no property out of which plaintiffs can secure the payment of their judgment, as is shown by the return of the Sheriff of Iredell County upon the ex- ecution now in the office of the Clerk of this Court. XVIII. That soon after the deed of assignment, as plaintiffs are informed and believe, the firm Wallace Bros. paid some of its creditors their debts in full, on debts which they owed at the time of the assignment out of assets which should have gone into the hands of the assignee. That prior to said assignment the firm of Wallace Bros. bow- rowed a large amount of money from the Wa@ovia Bank of Winston in which one Freize has large interests and placed as security for oT said loan many shares of stock in the Statesville Cotton Mills that as plaintiffs are informed and believe said Bank charged one thousand dollars or more as a bonus on said loan, and when, the amount became due after the assignment, and after a suit was pending in Iredell Superior Court by said Freize against Wallace Bros. for the collection of another debt due by them, in which fraud was alleged, in order to cause the withdrawal of said suit in Iredell Superior Court and after Counsel had gone to Winston to allege usury in the action there, the assignee, B.F.Long, paid or allowed to be paid out of the proceeds of the sale of said cotton mill stock the one thousand dollars or more bonus and usury which ote thousand dollars or more should have been recovered by the Assignee for the creditors of Wallace Bros. and in consequence of the pay- ment of the thousand dollars or more usurious interest, as above set forth, the said Freize at the May Term 1896 of Iredell Superior Court consented to take judgment for a simple debt withdrawing all the allegations of fraud set forth in the complaint. XIX. That the execution of the deed of assignment by Wallace Bros. as plaintiffs are informed and believe and allege was only a part of the preconceived scheme on the part of Wallace Bros. to cover up, dispose of and conceal their property for their own use and benefit, with intent to hinder, delay and defraud their credt- tors. XX. The plaintiffs aver upon information and beliéf that the money which was paid to Long as Assignee by the corporation, The Wallace Bros. Company, was money which belonged to the old firm of xg Wallace Bros. and which had been securely and snugly salted away in the distant State of new Jersey where the idea of "The Wallace Bros Company” first drew the breath of life, and that the sMhe honestly and properly belongs to the waiting creditors, lured into quiet by the false information that all would be paidein pa, whereas in truth and fact if anythigg at all is realized it will be small and in disproportion to the sums unjustly taken from un- suspecting creditors. Wherefore the plaintiffs demand judgment; 1. That the deed of assignment executed to B.F.Long,Esq.,as as- signee as described in this Complaint, be decreed fraudulent and void and that the property therein conveyed be sold and were sold under orders of this Court, the proceeds arising therefrom be ap- plied to the payment of plaintiffs Gebt in full and to the other creditors.
