Fe Duncan was the owner and operator of an incorporated business known as Duncan Plumbing and Heating Company, situate on Court Street, in the City of Statesville, North Uaro~ linne It is necessary that we have considerable iaformation in regard to this business as the operation was carried on by the Executrix after his deathe In reviewins the matter, I want to list some of the information that is needed to file a report with the Clerk of the Court and also an inheritance tax report, to-wit: le An inventory of ell of the property and assets in the Zatate of J. A list of all persons owing Mr. Duncan notes or mortgages and the amount of each. 7. An itemized list of all life insurance policies, showinz to wham payeble and the amount of each. & A detailed list showing the names of all persons to whan notes and mortcages were due at the time of Mr. Duncan's death, and the amount of each. 9. A detailed list showing the names of all persons to whan accounts or other indebtedness, including accounts payable by the Duncan Plumbing and Heating Coanpany, were owing at the time of Mr. Duncan's death, and including the a@nount due on each of the said accounts. 10. A full report showing which of the notes and mortcages payable and which of the accounts payable have been paid in full, and if not paid in full, what amount has been paid thereon. ll. Duncan, his widow, Mrs. Allie B. Duncan, and who is now Mrs. Ammons, was the sole legetee and devisee, and this, of course, will make it easier, I think, in preparing the report and settlement. You will notice that considerable information is required to get this report completed. J have already done quite a bit of work in connection with trying to get this report ready, and perhaps I have some of the infor- mation that I here given to yous in fact, I have been working on it for sane time, but I need to fill in a let of the details and also we need to have sone further information. Duncan for the years 1947, 1948 and 1949, in work- ing with the agents from the Internal Revenue Department, decided and arrived g at a cutoff point for the decedent's operations as of December 31, 1950, which would make the operation of the estate under the Executrix begin in the business pperation of Duncan Plumbing and Heating Company as of January 1, 1951; that in ras formed and took over the business operation of J. F. Duncan and wife, Allie B. Duncan, Ninety-two acres of land in Shiloh Township, Iredell County, North Carolina, which was in the name of J, F, Duncan, This property is situate on the Catawba River, and there was a house on it, and the rental shown under Income came fron the rental of this property. 9. That J. F. Duncan did not owe any mortgages or deeds of trust to any person; that the only note owing by J. i. Duncan was a note in connection with the business operation of Two Thousand Dollars ($2,000.00) to Peoples Loan and Savings Bank of Statesville, N. C., and this note has been paid in full and is so shown in this report. 10. That all income taxes due to the Director of Internal Revenue and the North Carolina Department of Revenue for the time or period ending June 30, 1955, have been paid; there was no income tax due to either the Federal or State Revenue Departments for the year 1953; there was no state income tax due to the North Carolina Department of Revenue for the year 1954; there was no federal or state income taxes for the period of January 1, 1955, through June 3, 1955; for full details as to payment of income taxes for the other years, reference is hereby made to Paragraph III under Disbursements. ll. That ad valorem taxes to Iredell County and the City of Statesville on the business property of the plumbing and heating business for the years 1951, 1952, 1953 and 1954 were paid in the business operations, and are set forth) in the audit and operating report of the business operation for those years, and when the final return in this estate is filed, the auditor's report of the business operations will show these taxes paid; that these taxes were paid be- fore the profit was arrived at in the business operation; that the 1955 taxes were assumed by the corporation which was organized. 12. That at the time of his death, J. F. F. Dun- can, have been fully and completely paid; that debts occurred in the operation of the business thereafter were either paid in full, or those that were unpaid »/ on June 30, 1955, were assumed by the corporation hereinbefore referred to, and | these have now been fully paid; that there are no debts and obligations of any kind, including notes, accounts or other liabilities, in the J. F. Duncan Estate | or in the business operation herein referred to on which the Je F. Duncan Estate } | | | has any liability whatsoever; that ir, Plumer Jones, Certified Public Accountant, | and the auditor for the business and the Executrix, is now preparing reports, audits, operating statements and balance sheets of the business Operations and the estate which will be attached to the final return in this estate and made a part thereof. / Dp " That the corporation which was organized in 1955, with the name, "J. F. Duncan Plumbing and Heating Company", was owned by urs. Allie B. Duncan, now Mrs, Allie Duncan Ammons, except for two shares of stock to other people in order ‘te have three stockholders in the corporation, and all of the assets of the Duncan Plumbing and Heating business, the unincorporated business, were trans- ferred, assigned and conveyed to the corporation, and the corporation assumed and | pada the outstanding indebtedness, except, however, the land and buildings in || Shiloh Township,which have been carried on the business books, and the farm | machinery were not transferred to the corporation; that al] of the accounts re- ceivable, notes and inventory and other assets were transferred, and as considera- tion thereof, the corporation assumed the outstanding indebtedness of the unincor- porated business and issued its stock to rs. Allie Duncan Ammons, and two shares to two persons designated by her. 13. That on January 1, 1951, the assets of the estate, exclusive of those already shown, were accounts receivable, inventory and fixed assets in the |business, being as follows at that time: Accounts Receivable 336,457.87. Inventory 42,239.81. ‘d Yd a s o r ‘u e o u n g OS 6 l Fixed assets which consisted of motor vehicles and office fixtures, furniture, ete, 014,645.59, The land, buildings, farm equipment and machinery herein. above referred to was carried in the business, and according to the audit and report at that time had @ value of $5,722.09. The audit report of the value of the fixed assets shown above would be reduced by accumulated depreciation as showm by the balance sheet at that time in the sua of #9 5898.13. The other assets in the business at that time was cash 3299.79 and deposits in the bank 626.63, and both of these items are shown in the Receipts in this report, 14. That Mr. Plummer Jones, C. P. A., is auditor for the estate, and at this time, he is preparing a detailed list of the accounts shown as dis- bursements under Paragraph V, Sub-paragraph 2, in the sum of 919,705.55. The information if. Jones is preparing will show the name and amount of each of the creditors who make up the total sum of accounts in the total sum of $19,705.55. This list will be ready to file with the final return in the next weeks. 15. That it is necessary to file an inheritance tax return with the North Caroline Department of Revenue and an estate tax return with the Director of Internal Revenue, and the auditor énd attorney for the estate are naw preparing the necessary information to file these returns, and that infor- mation should be ready within the next few weeks so that these tax returns can be filed, 16. During the operation of the unincorporated plumbing and heating by the estate, between January 1, 1951 and June 30, 1955, borrowed on certain occasions by the business and interest naid thereon; of course, certain accounts were made in operating the business. All of notes which were made during the operation by the estate, and all of the accounts s which were made, and all o on the notes, heave been paid in full. The interest paid on these notes and the interest vaid on the $2,000.00 note in existence at the time of the death of J. F. Duncan was shown as interest in the Operating report and audit re ort of the business operations, and was used in the expenses before the orofit was ascertained, and, therefore, is properly re. flected in the business operations and in the profit shown from the business operations, 17. That in order to properly show to the Court that the estate has been fully administered, that all of the business Operations have been handled and ail debts and liabilities in connection therewith paid, the auditor is now preparing an audit and a report to show the profit and operations from the busi- i ness during each calendar year, or each period of operation, to show the balance sheet at the beginning, the balance sheet at the end of the operation, and the other debts and liabilities that were paid and discharged in connection with the estate and the business operation; and these reports will all be ready within the next few weeks, and a final return will be made and a copy of these audit reports will be attached to the final return for the court's consideration and approvale 18 That all debts and liabilities of J. F. Duncan, and all debts and liabilities of the unincorporated business which he was operating at the time of | his death and which were unpaid at the time of his death, have been paid in full;) that all debts and liabilities incurred by the estate in the operation of the un-| incorporated business for the period hereinabove set out have been paid in full; that there are no debts, liabilities and obligations of any kind due or owing by Je F. Duncan, or the J. F. Duncan Estate, except the following: (1). Whatever inheritance tax and estate tax may be determined from the examination, audit and report which the attorney and auditor is now preparings (2). The balance which may due to the auditor and attorney for legal services in this matter. (3)- The final cost to the Clerk of the Court for filing the final settlement. 19-2 An account in sufficient size and amount has been set up on the books of the corporation for the devisee and Executrix, Mrse Allie B. Duncan, now Mrse Allie Duncan Ammons, and when the amount of the inheritance and estate taxes are determined, and the amount of lezal and audit fees, and the amount of court cost is determined necessary to pay the taxes and pay the final cost of adminis- tration in this estate, a sufficient amount of funds will be transferred to the account of this Executrix to pay the same. WHEREFORE, Mrse Allie B. Duncan, now Mrs. Allie Duncan Ammons, Executrix of the Estate of Je F. The inheritance tax return was filed March 6, 1958, and C. B,. Win- berry had calculated and used inventory accounts receivable and other items on which the tax amounted to $706.68. C. B. “inberry meade a trip to Raleigh, N. C., to take the Return, and had a conference with the Commissioner of Revenue and Mr. C. D. Moore, in charge of the Inheritance Tax Division. At that time, they would not approve the Report, contending that the &ccounts receivable and inventory should be increased $19,548.61. C. B, Winberry made some investigations and obtained figures from Mr. Plummber Jones and wrote several letters to the Inheritance Tax Department. Later he made another special trip for this business and had a conference, and at a later time when he went to ‘aleigh on another matter, also had a conference with the Inheritance Tax Depart- ment. If the Inheritance Tax Department had made the increase as they indicated tney would, the inheritance tax would have been $1,984.65; however, on August 27, 1959, which was almost a year and a half after the Revort was filed, they approved the Report as filed and accepted $706.68 in full of the tax, which was a difference of $1,277.97, or that much less than what they were wanting. 3. All debts, liabilities and obligations of J. F. Duncan and J. F, Duncan Plumbing and Heating Company for which he was liable, and all of the debts, liabilities and obligations which the corporation assumed, have now been paid in full. WHEREFORE, having fully administered on the Estate of J. F. Duncan, the undersigned, Mrs. Allie B. Dunlap, respectfully returns upon oath and shows the following to be a true and correct account of his transactions es such administrator and in this connection, shows to the Court that on and after June 10, 1931, the deceased, John ©. Dunlap, who was a brother of the administrator, was totally disabled and that on account thereof, it was necessary for F. A. Dunlap to take charge of the fam and its operations and to look after all business of John C. Dunlap connected therewith and for that reason, there appear certain items of receipts and disbursements arising from the farm between the period of June l0th and Aug. 10th, the latter date being the date of the death of John C. Dunlap, which strictly do not enter into the settlement of his estate, but inasmuch as these receipts and disbursements were handled by F.A. Dunlap, they are shown in this report in order to constitute both an accounting by the administrator for funds that came into his hands in his capacity as administrator and the report of his transactions as manager of the farm of his incapacitated brother from the period of June 10th to his death, in order that it may constitute a settlanent between F. May f ; oe -Clerk Superior Court. yy Sec. 139%--Every executor, administrator and collector within three months after his qualification, shall return to the Clerk, on oath, « just, true and perfect inventory of all real estate, goods and chettels of the deceased, which have come to his hands or to the hands of any person for him, which inventory shall be signed by him and recorded by the Clerk He shall also return to the Clerk, on oath, within three months atter each sale made by him, a full and itemized account thereof, which shall be signed by him and recorded by the Clerk. Sec 1319~Every executor, administrator and collector shall, within twelve months from date of his qualification or appointment, and annually, so long as any of the estate te mains in his control, file, in the office of the Clerk ot the Superior Court, an inventory and account, under oath, of the amount of Property received by him, or invested by him, ang the manner and nature ot such investment, and his receipts and disbursements for the past year in the form of debit and credit. He must produce vouchers for all payments. The Clerk may examine on oath such accounting party or any other person concerning the receipts, disbursements or any other matter relating to the estate and having carefully revised and audited such accounts, if he approve the same, he must endorse his approval thereon, which shall be deemed prima facie evidence of correctness.
