That Wm. L. Allison has offered to buy the whole lot at the azsrrezcate price of $350.00 and allow J. I. Stede to have the 12 gauze Yinchester shot gun at $40.00 to be deducted from the lump bid. That in the opinion of the Administratrix, the bid of 3350.00 for the whole is fair and equitable, because while some of the individual pieces mnisht be sold, it would be difficult to secure a purchaser at all for a number of the old discarded models and the proposed purchaser is willing to take the whole lot as a matter somewhat of sentiment, in order to keep them from being parcelled out at a low price. That the Commercial National Bank of Statesville, North Carolina, is a cornoration duly chartered and organized under the national banking laws and heretofore doing a general banking business in the City of Statesville, Iredell County, North Caroltna. 2. That the Commercial ‘ational Bank of Statesville, North Carolina, closed its doors on account of insolvency and ceased to do busines on the 18th day of April, 1928, and that J.W.Dalton was appointed Receiver of said Bank by the Comptroller of the Currency. 5. That thereafter on the 5th day of June,1928, the said J.W.Dalton resigned his office as Receiver and C.L.Williams was duly appointed Receiver of said Bank by the Comptroller of the Currency and since said time has been in the active discharge of his duties as Receiver in winding up the affairs of said Bank, 4. That D.M.Ausley died on the 18th day of April,1928, domiciled in Iredell County, North Carolina, leaving as his only child and heir at law, Ilary Ausley Allison, wife of the petitioner Wm. L. Allison, and that the said Mary Ausley Allison duly qualified as Administratrix of the said D.M.Ausley before the Clerk of the Superior Court of Tredell County, North Carolina, on April 23rd,1928, and has since been in the active discharge of her duties as Administratrix of the said D.M.Ausley. Se That at the time of his death and for more than ten years prior thereto the said D.M.eAusley had been continuously an ol!’ icer of the Commercial National Bank of Statesville, ‘lorth Carolina, to-wit: its Cashier. 6. That on and prior to November 7th, 1925, M.E.Johnson and J.OgJohnsony trading as Carolina Iron Works of Troutman, North Carolina, were indebted to the Commercial National Bank of Statesville, North Carolina, in approximately the sum of $7200.00 and that on November Tth, 1925, the said I{,E.Johnson and J.0.Johnson, caused a certain tract of land to be conveyed by J.0.Johnson, Jr. to D.M, Ausley in trust and as part payment of said indebtedness, which said deed is recorded in Deed Book 83, page 102, of the records of the Register of Deeds for Iredell County, North Carolina, and the land conveyed therein is described as follows:- Beginning en a stone in the town of Troutman, North Carolina, at the east side of the Southern Railroad and runs thence with Walnut Street N. 542 E. 21 poles to a stone; thence N. 31 W. 7% poles to a stake or iron pin; thence S. 544 W. 21 poles to an iron stake in the east side of the Southern Railroad; thence S. 334 E. 74 poles, to the beginning. 7. That thereafter the said D.M, Ausley reported to the Board of Directors of the Commercial National bank of Statesville, North Carolina, and to the Bank Examiners that said land was conveyed to him in trust and for the henefit of the Commercial National Bank of Statessille, North Carolina, and as part payment of the indebtedness due by the Carolina Iron Works to the said Bank and that Mary Ausley Allison as the sole heir ; Law of D.M.Ausley and as Administratrix of the said D.M.Ausley has admitted and does now admit that the said land was conveyed to the said D.li.Ausley for the benefit of the said Bank and as part payment of the indebtedness due by the Carolina Iron Works to said bank and that she does not claim any interest in @aid land either as the sole heir of said D.M.Ausley or as Administratrix of the said D, -Ausley, but that she as heir of said D.M.Ausley and as Administratrix of said D.M.Ausley, and her husband, Wne L. Allison, join in this proceeding as petitioners for the purpose of perfecting the title of the Commercial National Bank of Statesville, North Carolina, to said land and in order to bar the Estate of D.M.Ausley of all interest therein. 8. That L.W.Hicks of Jroutman, North Carolina, has offered to purchase all of the right, title and interest of the petitioner, C.L.Williams, Keceiver of the Commercial National Bank of Statesville, North Carolina, in the above land, described in paragraph six hereof and all right, title and interest of the Estate of D.M.Ausley therein, subject to the 1930 city and county taxes and pay therefor the sum of ;1500.00 in cash, contemporaneously with the execution a nd delivery of a deed to him for said land, provided the said C.L.Williams, Receiver of the Commercial National Bank of Statesville, North Carolina, will pay the town of Troutman the sum of 924.00 for the 1929 town taxes. 9. That the petitioner C.L.Williams, Receiver of the Commere¢ial National Bank of States ilie, North Carolina, is informed, believes and so alleges that the sum 6f >1500.00 is a full, fair and adequete price for said lot of lana and that if will be for the best interest of the creditors and others in interest of the Comnercial National Bank of Statesville, North Carolina, that the said lot of land be sold to thesaid L.W.Hicks for the sum of $1500.00, that the Comptroller of tne Currency of the United States has duly authorized said sale by letter dated June 29th,1930, copy of which is hereto attached. WHEREFORE the petitioners pray for an order of the Court decreeing:- 1. That it be adjudged that the said D.l.Ausley held said land in trust and for the benefit of the Commercial National Bank of Statesville, North Varolima, as part payment of the indebtedrless due by Carolina Iron Works, to the said Bank and that the said Mary Ausley Allison, individually or as Administratrix of D.M.Ausley, Deceased, has no right, title or interest in or to said lot of land and that she individually and as Administratrix of D.M.Ausley, Deceased, be forever barred of any right, title and interest ins aid lot of land. V 2e That the offer of L.W.Hicks to purchase said land upon the terms set forth in the petition be accepted and that C.L.Williams, Receiver of the Comercial National Bank of Statesville, North Carolina, be authorized, empowered and directed to convey all of his right, titleand interest in said land to the said L.W.Hicks upon the payment to him of the sum of $1500.00 in cash and that the said Receiver be authorized to pay out of said purchase price the sum of 924.00 to the twwn of Troutman for the 1929 taxes due said town and the cost of this proceeding to be taxed by the Clerk. Johnson caused a certain tract of land to be conveyed by J.O.Johnson, Jr., to D.M. Agsley in trust for said Bank and as part payment of said indebtedness, which said deed is recorded in Deca Book 83, page 102, of the records of the Register of Yeeds for Tredell County, forth Carolina, the land conveyed therein being described as follows:- Beginning on a stone in the town of Troutman, North Carolina, at the east side of the Southern Railroad and buns thence with Walnut Street N. 54% EF. 21 poles to a stone; thence N. 31 W. 74 poles to a stake or iron pin; thence S. 54, We 21 poles to an iron stake in the east side of the Southern Railroad; thence 8S. 334 Ee 7 poles, to the beginning. That the Comptroller of the Currency of the United States has authorized and empowered C.L.Williams, Receiver of the Commercial National Bank of Statesville, North Carolina, to sell and convey all of the right, title and interest of the Commercial National Bank of Statesville, North Carolina, in said tract of land, subject to the 1930 city and county taxes, for the sum of 31500.00 and out of the proceeds of said sale to pay the cost of this proceeding and to pay to the town of sroutman the sum of $24.00 for the 1929 town taxes, which said sum of 1500.00 a full, fair and edequate price for said tract of land. That in addition to these claims, the Heceiver of the Commercial National Rank of Statesville, N.C. has brought a suit which is now pending in the United States District Court for the “estern District of North Carolina, at Statesville, against the directors of the Commercial National Bank for an accounting in equity for losses alleged to have been suffered by said bank due to the negligence of the directors in the management of its affairs and that the other direstors sued therein have caused the petitioner to be madea party to said suit in the United States District Court and have asked for a cross judgment against the estate of D. M. Ausley, in the event any liability is found against the directors and have asked that he be made primarily liable therein as the cashier of said bank; that a large amount is involved in said suit and the amount prayed for in the petition therein, if no other damage should be found upon an accounting, is $116,000, exclusive of interest. 4th. That the total liebility of D. mu. Ausley's estate on account of said directors’ suit would be $116,000, plus =cecrued interest, ifa judement was allowed in ssid suit against him in favor of the other directors. Sth. That the Administratrix is advised that she can settle said liability and termknate said suit so far as the estate of D. M. .usley is concerned, by paying out of the assets of the estate now in her hands, the sum of 20,000 in compromise settlement of all liability against the estate of D. M. Ausley growing out of the said directors' suit. 6th. That it is the opinion of the petitioner that it would be for the best interests of all the creditors of the estate of D. M. Ausley to make said compromise settlenent and pay 35,000 to terminate said litigation, because it would be expensive and lone drawn out to contest said matter and would probably cost the estate that much or more to carry the litigation to a final conclusion and that the petitioner has conferred with creditors holding 95% of the claims against the estate of D. M. Ausley and they are in favor of her making the compromise settlement and recommend that it be done. 7th. That the Administratrix now has on hand the sum of ~54,000 in cash and she proposes, if said suit is settled, to immediately pay to the other creditors of D. Mi. Ausley's estate a dividend upon their indebtedness of approximately 3.5%. WHEREFORE, the Administratrix prays that she be authorized Wer iss to compromise all liability of D. M. Ausley was seized in fee simple of the following described lands: First Tract - Houpe Lands in Bethany Townshiry Being Lots Nos. 37, 38, 39, 40, 41, 14, 15, 16, 17 and 18 of the property of D. M. Ausley and others, known as the W. We. dioupe Farm, as mapped and platted by S. 0. Lazenby, surveyor, map of said property being recorded in the office of the Register of Deeds for Iredell County in Plat Book a5 page lll, to which reference is hereby made for a more complete description by metes and bounds. Second Tract - In Shiloh Township Known as Tract No. 2. See deed from E. W. Sherrill to J. H. Sherrill 500k 26, page 363. Béginning at a double red oak, South 14 poles to a small red oak; thence East 42 poles to a locust; thence North 48 poles to a pine; thence N. 80 W. 31 poles to a stone; thence S. 47 W. That a sale of said land is necessary to pay the debts of the said intestate and the charges of administration. 7th. That more than four years have elapsed since the petitioner, Mary Ausley Allison, was appointed as Administratrix and she desires to close the estate and file a final settlement, although recognizing that under present conditions, the property belonging to the estate will not bring any worth-while price, but she has communicated with the principal creditors of the estate and they concur in her decision that it would be wise to sell the remaining assets for whatever they will bring, distribute theproceeds and file final settlement. This proceeding coming on to be heard upon the petition of Mary Ausley Allison, Administratrix of D. M. Ausley, and being heard, and it appearing to the Court that all the parties necessary and proper to the termination of this matter are properly before the Court and made parties to this proceeding, and that the personal estate of D. M. Ausley, deceased, is insufficient to pay his debts and the charges of edministration. It is, therefore, ordered and adjudged that the lands described and specified for sale in the petition be sold in order to pay so much of said debts and charges as may be unsatisfied by the personal property.
