Sec. 9.—Five (5) Directors, or the President and four (4) Directors shall constitute a quorum for busi- ness at all meetings of said Board. In the absence of the President his duties and powers shall devolve upon the Vice-President. Sec. 10.—The Roard of Directors shall meet at least once a month, from time to time, and on such day as they may deem best for the interest of theCorporation ; they shall constitute the Council of Administration, and it shall be their duty to manage the business affairs of the Corporation, to select a device for a common seal for the Corporation, to examine regularly the hooks and accounts of the Secretary and Treasurer, and they may appoint, from their own members, such commit- tees as may be necessary, except as provided in Sectiou 18 of the By-Laws. Sec. 11.—The President shall preside at all meetings of the Board of Directors. He shall appoint all com- mittees not otherwise ordered, submit to the Board of Directors, for their consideration and decision, all mat- ters which in his opinion the interest of the Corporation may require; he shall use his best endeavors to cause the Charter and By-Laws to be strictly en- forced and at each meeting of. the Directors he shall sign the minutes of their proceedings ; he shall take into safe keeping the Bonds of the Officers, clerks and servants of the Corporation; he shall have power to call a specia lmeeting of the Board of Directors at any time, when in his opinion it may be necessary. Sec. 12.—The Secretary and Treasurer shall be elected by the Directors whose term of office shall be the same as the Directors. Sec. 19.—Any officer of the Corporation may be removed or suspended for neglect of duty, breach of trust or other sufficient causes, by the Board of Di- rectors. Sec. 20.—All weekly installments of fifty cents per share on stock subscribed for shall be paid to the See retary and Treasurer on Saturday of each week, and the amount paid shall be placed to the credit ot the Shareholder by the Seeretary and Treasurer in the books of the Corporation. Sec. 21.—Any Shareholder failing to pay the week- ly installment of fifty (50) cents per share, when due, shall be charged with interest on the amount unpaid at the rate of eight per cent. per annum after maturity, provided, that 5 cents per shure, as a fine, must be charged, whether the interest amount to that much or not. Sec. 29.—None but Stockholders shall be eligible to the office of Director, and whenever any vancancy shall occur in the Board of Directors it shall be the duty of the Board to fill such vacancy until the next meeting of the Stockholders. Src. 30.—The Secretary and Treasurer shall give to the service of the Mill all of his time necessary to con- duct the Mill’s business. During the period of construc- tion he shall attend to all matters connected therewith that may be necessary, pay all bills as prescribed by the By-Laws, check all accounts, look after all matters of business of the Company. All of which shall be done subject to the approval of the President and Board of Directors. After the Mill is in operation he shall keep the books and do all correspondence, sell and ship all products, buy all cotton. buy all supplies needed for the operation of the Mill. He shall have an office at the Mill and have office hours at the Mill in which he shall be there and the office hours shall be satisfactory to the Board He shall do all other detail work not assigned to another officer of the Company.
