Oglesby, Resident Judge of the Fifteenth Judicial District of North Carolina: The undersigned agent for the stockkolders of the Troutman Banking and Trust Company, respectfully reports and shows the Court: =i That the said D. L. Raymer was duly elected agent for the stockholders of the Troutman Banking & Trust Company as provided by sub-senotion 19 of Section 218 (c) of Consolidated Statutes of North Oarolina at a meeting of stockholders duly held on the 6th day of December, 1931, and that the said D. L. Raymer immediately entered upon his duties as such agent. -2- That among the assets now in the hands of the said D. L. Raymer, Agent for the Stockholders of said Troutman Banking & Trust Company, are the following judgments, against the parties named upon which are now due the sums indicated, to-wit: 1. Against L. N., C. H., and A. G. Brown for the sum of $670.57 ee Against A. G., C. H., and L. N. Brown for the*sum of $725.55 . “ 3. Against A. G., L. N., and C. H. Brown for the sum of $956.91 4. Brown are each insolvent, and in his judgment and,as will appear from the statement of the finance committee of the stockholders of said Trouman Banking & Trust Company, it is the judgment of said committee | that it would be to the best interest of the stockholders of said corporation to accept the offer of the said Herman Brown as hereinabove set forth, and that in the oOpbnion of the petitioner and each menber of said finance committee, the said A. G. Brown, C. H. Brown and L. N. Brown are each insolvent, and that nothing could be realized by issuing execution on said judgments. a5 That among the assets of said Troutman Banking & Trust Company is a certain judgment against R. L. Waugh, J. F. Waugh, and N. FE. Waugh for the sum of $450.00 with interest from December 3, 1928, that E. Grier Waugh has offered to surrender twenty-two (22) shares of the common capital stock of the said Troutman Banking & Trust Company, upon which there has been paid one dividend of ten (10) pe r cent, in consideration of the transfer of said judgment to him; said offer being made primarily on account of the fact that one of the defendants is the mother of the said E. Grier Waugh. = That in the opigion of the said D. L. Raymer, agent as aforesaid, and in the opinion of each of the members of the finance committee of the stockholders of said bank, each of said judgment debtors is insolvent and nothing could be realised by issuing execution on said judgment; that there will probably be paid approximately $225.00 by way of dividends on said stock offered for said judgment, and that it will be to the best interests of the remaining stockholders that said offer be accepted. Wherefore, the said D. L. Raymer, agent as aforesaid, prays the Court that he be authorized and directed to accept the offer of Herman Brown and L. N. Brown for the judgments listed in paragraph 2 of this report, as herein set forth, and to accept the offer of E. Grier Waugh as herein set forth. L. Raymer Agent for the Stockholders of the Troutman Banking & Trust Company; that in our opinion A. G. Brown, C. H. Brown, and L. N. Brown are each insolvent, and that nothing could be realized from executions issued on the judgments against said parties described in said petition; and, that it would be to the best interests of the stockholders of said bank that the offer of Herman Brown, set forth in paragraph three of said petition be accepted; We further state that in our opinion R. L. Waugh, J. F. Waugh, and N. EF.
