Said first party agrees to sell to said second party the bill of Assembly Chairs noted on opposite sid€ of this sheet, and to deliver same on board cars at Grand Rapids, Michigan, in knock down shape, properly crated, boxed and marked as specified. Party of the second part agrees to receive the goods and pay such charges as shall have accrued for transporta- tion, and also to advance funds sufficient to cover the expense of areas and cost of setting up, providing the party of the first part is f deliver and place the chairs at their own expense. The said first party further agrees that said chairs shall be so constructed as t placed in accordance with seating plan to be furnished eam and that in the matter of attachment, style of finish and upholstery, shall be in conformity with detailed specifications given herewith, and that said chairs shall be shipped at time and in manner hereinafter stipulated, 3-. The said party of the second part agrees to furnish an approved seating plan, at least forty days before the date mentioned in this contract for shipment, and any failure of said second party to so furnish said approved seating plan shall release the party of the first part of their obligations to furnish the chairs at the time specified in this contract. ff the archi- tect of the building for which said seating is ordered shall furnish said seating plan, it is hereby mutually agreed that this plan shall be considered the approved oo of second party, aad shall be binding on said second party as said approved plan. Dovvars for each and every chair, of style No.4. %. .-.°; the sum of WS for each and every chair, of style No ; the sum of ’ : psh f_ compliance ~ r cent int€rest from datdof invoice, pay- by the officers of said party of the second part, individually. §- Itis further mutually understood and agreed that the seating plans, hereinbefore mentioned, when approved by sec- ond party, shall be considered a part of this contract; and said first party shall not be held accountable or suffer loss through any errors in measurement of house; but if said party shall, through negligence or error, fail to ship the full number required to seat the house in accordance with said plan, or shall make and = any chairs not in conformity with said plan and specifi- cations. then said second party shall, within ten days aforesaid, explicitly point out the default or defects complained of, and thereupon the first party shall elect whether to undertake to repair the errors or mistakes, so claimed, and permit the second party to keep the chairs, and retain in settlement from the amount oerece to be _ the price charged for any chairs not i or-so wrongly made, ically constructed, unti mistakes shall be made good; or to take possession of said chairs, and remove the same, as for a failure to settle or pay for the same. If the second party shall by agreement aforesaid, retain in settlement from the amount to be paid, any sum for chairs not shipped or wrongly made, or mechanically constructed, until such mistakes shall be made good, such mistake or error shall not effect or delay settlement in accordance with this contract further than as herein stipulated, and said sum so retained shall be paid on demand after such mistakes or errors shall have been corrected. 6. It is further agreed by parties hereto that the party of the first part shall not be held liable for delays caused by fire or strike, or for delays in transportation. 7. If under this contract said first party is to set up chairs in house, ready for use, then, and in that case, said second rty expressly agrees that all scaffolding, lumber, rubbish or obstructions of any kind, shall be removed from the floor of said Couse at least ten days before date mentioned for completion of the work, and that said first party shall have u clear floor at least seven full working days in which to set up said chairs; and for any one day's delay on part of said second party, said first party shall have one day's additional time for completion of the work. 8. The second parties further agree to insure these goods aoenet fire, for an amount equal to the deferred payment or pa ts, in some responsible company which shall be acceptable to the party of the first part. The policy to be made pay- able to the said first —— the second parties paying the premium, The policy to be returned to second party, or cancelled, when settlement shall have been made in full by cash. 9. Itis mutually agreed and understood that the title to the seating, or any portion thereof, as above described, shall not pass to said second party, but shall be and remain in said Grand Rapids School Furniture Company, party of the first part, until full payment therefor, in cash, shall have been made to said first party. Should the Contractor at any time refuse or neglect to supply a sufficiency of properly skilled workmen, or of materials of the proper quality, or fail in any respect to prosecute the work with s and diligence, or fail in the performance of any of the agreements herein contained, such eglect or failure being certified by the Architects, the Owner shall be at liberty, after ae... Art. VI. The Contractor shall complete the several portions, and the whole of the work com- Art. VII. Should the Contractor be obstructed or delayed in the prosecution or completion of his work by the act, neglect, delay or default of the Owner, or the Architects, or of any other contractor employed by the Owner upon the work, or by any damage which may happen by fire, lightning, earth- quake or cyclone, or by the abandonment of the work by the employees through no default of the Contractor, then the time herein fixed for the completion of the work shall be extended for a period equivalent to the time lost by reason of any or all of the causes aforesaid; but no such allowance shall be made unless a claim therefor is presented in writing to the Architects within twenty-four hours of the occurrence of such delay.
