sale of the Series 2000 Bonds (presently estimated to be on or about June 27, 2000), among the
Corporation, the County and Wachovia Securities, Inc., Scott & Stringfellow, Inc., trading as BB& T
Capital Markets, and Banc of America Securities, Inc. (collectively, the "Underwriters "), relating
to the purchase and sale by the Underwriters of the Series 2000 Bonds;
(b) a draft of the proposed Installment Financing Agreement, dated as (j`JId ' 11 1, 2000 (flit,
"Installment Financing Agreement "), between the County and the Corporation, pursuant to which
the Corporation will make available to the County funds to be derived from the sale of the Series
2000 Bonds with which to finance the cost of the Project, and the County will, among other
requirements, be obligated to make Installment Payments (as defined in the Installment Financing
Agreement) and certain other payments;
(c) a draft of the proposed Trust Agreement, dated as of"July 1. 2000 (theI 'Trust
Agreement"), between the Corporation and First Union National Bank (the "Trustee ). the
provisions of which relate to the issuance of and security for the Bonds (as defined in the Trust
Agreement) authorized to be issued thereunder;
(d) a draft cii"the proposed First Supplemental Trust Agreement, dated as o/Jull, 1, 2000 (the
,firg Supplemental Trust Agreement "), between the Corporation and the Trustee, the provisions
of which relate to the issuance of the Series 2000 Bonds;
(e) a draft of the proposed Deed of Trust, dated as of July 1. 2000 (the "Deed of Trust
from the County to Terry W. Hefner, as deed oftrustee, for the benefit of the Corporation, by which
the County will secure its obligations to the Corporation under the Installment Financing
Agreement;
(0 a draft of the proposed Deed of Assignment, dated as of J144v 1, 2000 (the "Deed of
Assigninent"), from the Corporation to the Trustee, assigning the Corporations's rights as
beneficiary under the Deed of Trust;
(g) a draft of the Preliminary Official Statement (the "Prelonalarl' Official Statement
relating to the offering of the Series 2000 Bonds,-
(h) a draft of the proposed Agency Agreement, dated as ofJuly l, 2000 (tile "Mooresville
Agency Agreement), between the County and the Mooresville Graded School District Board of
Education (the "Mooresville Board ofEducation "), pursuant to which the Mooresville Board of
Education has agreed to act as an agent of the Counly, it, connection with the construction of cin
addition to Mooresville High School; and
(I) a draft of the proposed Agency Agreement, dated Its of July 1, 2000 (the "Iredell-
Statesville Schools Agency Agreement "), between the County and the Iredell-Statesville Schools
Board of Education (the "Iredell-Statesville Schools Board of Education "), pursuant to which the
Iredell-Statesville Schools Board of Education has agreed to act as agent of the Coloill In
connection with the construction, furnishing and equipping of die new Lake Norman High School
and the construction of Phase 11 of the tie", Lake Shore Middle School.
NOW, THEREFORE, BE ITRESOL VFD by the Board ofCommissioners for the Counil, of
Iredell, North Carolina:
Section I. Capitalized words and terms used in this resolution and not defined herein shall
have the same meanings in this resolution as such words and terms are given in the Trust
Agreement, the First Supplemental Trust Agreement or the Installment Financing Agreement.
Section 2. The County hereby approves the sale of the Series 2000 Bonds by the
Corporation. Tile Series 2000 Bonds shall mature in such ainounts and at such times and shall bear
interest at such rates as shall be determined bythe President 9fille Corporation,, provided, however,
that the aggregate principal amount ofthe Series 2000 Bonds shall not exceed $39, 000. 000 the final
